Issue prospectus and annexes

Stipulation

The issue prospectus of PATENTUS S.A. with headquarters in Pszczyna (the “Company”) approved by the Financial Supervision Authority on 18th September 2009 (the “Prospectus”) has been drawn up in relation to the public offering of 3 million ordinary bearer shares of series F with a nominal value of 0.4 PLN each within the territory of Polish Republic, and in connection with the intention of applying for admission and introduction to trading on the Warsaw Stock Exchange 5.25 million ordinary bearer shares of series D, 3.125 million ordinary bearer shares of series E, no more than 3 million ordinary bearer shares of series F and not more than 3 million Rights to Shares of Series F. Prospectus is the only legally binding document containing information about the Company and its shares.

Prospectus has been made available to the public in the electronic form in this specific tab of Company’s website (www.patentus.pl) and in the appropriate tab on the website of Lead Manager, which is Dom Maklerski Banku Ochrony Środowiska S.A. (http://bossa.pl).

The Company’s shares of Series F shall be the subject of a public offering within the meaning of the Act of 29th July 2005 on Public Offerings and Conditions for Introducing Financial Instruments to Organized Trading and on Public Companies (DZ. U. No 184, item 1539 with amendments) on the basis of the Prospectus. Prospectus may not be treated as a proposal or offer to purchase shares outside of the territory of Polish Republic. Prospectus or the securities covered by it were not a subject to registration, approval or notification in any country outside the Polish Republic. The securities covered by the Prospectus may not be offered or sold outside the Polish Republic (including the territories of other EU member states and the United States of America), unless in that country such offer or sale could be made in accordance with the law, without having to meet any additional legal requirements. Any investor residing or having its seat outside the Republic of Poland should be familiar with Polish law and regulations as well as with law and regulations of other countries that might apply to him. According to the rules and regulations in some countries, familiarity with the information given on this web site tab is not allowed in general or for specific groups of people. Statement

Pursuant to the Article 54 paragraph 3 of the Act of 29th July 2005 on Public Offering, Conditions for Introducing Financial Instruments to Organized Trading and on Public Companies, and in accordance with the provisions of the Company’s issue prospectus, approved by the Financial Supervision Authority on 18th September 2009, the Management Board of PATENTUS S.A. announces that on 7th October 2009, the issue price of ordinary bearer shares of Series F has been set to 2,30 PLN per share.

Statement

The Management Board of PATENTUS S.A. with headquarters in Pszczyna announces that on 15th October 2009, they’ve adopted a resolution on the allocation of shares of Series F. Public offering has been successfully performed at a maximum level, that is: 3 million ordinary bearer shares of Series F.

2.7 million shares of new issue were offered in binding Book Building process for the Large Investors Tranche, where all shares were acquired.

Allocation rate in the Small Investors Tranche was equal to 10.36%, which means a reduction rate was equal to 89.64%.
Issue price of shares of Series F was equal to 2.30 PLN (in words: two zlotys thirty groszy).
